Terms of Service

    These Terms of Service (“Terms”) govern your use of Unfiled (the “Service”), operated by Raemedy Limited (“we”, “us”, “our”). Our registered office is 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, England. By creating an account or using the Service you agree to these Terms.

    1. The Service

    Unfiled is online software that helps UK solo traders, landlords and micro-companies organise their finances and prepare tax-related documents. Features include transaction import and categorisation, tax calculation, Making Tax Digital (MTD) VAT submission to HMRC, year-end accounts preparation, and a knowledge base of UK tax guides. Some features (including Corporation Tax CT600 e-filing and Companies House accounts submission) are in active development and may be released to a limited set of profiles before being made generally available.

    Unfiled is software. It is not a regulated tax adviser, accountant, or solicitor and does not provide legal, tax or financial advice. You remain responsible for the accuracy of any information you submit to HMRC, Companies House or any other body.

    2. Eligibility

    • You must be at least 18 years old.
    • You must be authorised to act on behalf of the business, sole trader or property business whose data you process in the Service.
    • For HMRC submissions you must hold valid Government Gateway credentials and the relevant tax registrations (e.g. VAT, MTD).
    • For Companies House submissions you must hold valid Companies House authentication credentials.

    3. Your account

    You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us at support@unfiled.co.uk immediately if you suspect unauthorised access.

    4. Your responsibilities

    • Providing accurate, complete and up-to-date information.
    • Reviewing every figure and document before filing with HMRC or Companies House.
    • Meeting all statutory filing and payment deadlines.
    • Keeping your own backups of records you are legally required to retain.
    • Complying with all applicable UK laws when using the Service.

    5. Acceptable use

    You agree not to:

    • Use the Service for any unlawful, fraudulent or misleading purpose.
    • File information on behalf of an entity you are not authorised to represent.
    • Reverse engineer, decompile or attempt to extract source code from the Service.
    • Probe, scan or test the vulnerability of the Service, or attempt to bypass security or access controls.
    • Upload malware, scrape data at scale, or interfere with other users’ access to the Service.
    • Use the Service to build a competing product.

    6. Fees

    Some features of the Service may be offered free of charge during a beta or trial period. Paid plans, when introduced, will be presented to you before you incur any charge. We may change prices on at least 30 days’ notice. Where you have already paid for a billing period, the change will take effect at the start of your next billing period.

    7. HMRC, Companies House and third-party connections

    The Service connects to HMRC and Companies House on your instructions to retrieve or submit information. Submissions are made under your credentials and are your filings, not ours. We are not responsible for outages, errors, rejections or penalties caused by HMRC, Companies House, your bank, or any other third party, except to the extent required by law.

    8. Intellectual property

    We retain all rights in the Service, including the software, design, knowledge base content and brand. You retain all rights in the data you input. You grant us a limited licence to process your data solely to provide and improve the Service, as described in our Privacy Policy.

    9. Suspension and termination

    You can stop using the Service at any time and request deletion of your account by emailing support@unfiled.co.uk. We may suspend or terminate your account if you breach these Terms, if required by law, or to protect the security of the Service or other users. Where reasonable we will give you notice and the opportunity to export your data.

    10. Disclaimers

    The Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or that any calculation, suggestion or output is suitable for your specific circumstances. You should obtain professional advice for material tax or accounting decisions.

    11. Liability

    Nothing in these Terms limits any liability that cannot be limited under UK law (including liability for death or personal injury caused by negligence, or for fraud).

    Subject to that, our total aggregate liability to you in connection with the Service in any 12-month period is limited to the greater of (a) the fees you paid us for the Service in that period, and (b) £100. We are not liable for indirect or consequential loss, loss of profits, loss of goodwill, loss of data, or HMRC or Companies House penalties, interest or surcharges arising from inaccurate information you provided or from your failure to review filings before submission.

    12. Changes to the Service or these Terms

    We may update the Service and these Terms from time to time. Where changes are material we will notify you by email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

    13. Governing law

    These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, save that if you are a consumer you may also have rights to bring proceedings in the courts of the part of the UK where you live.
